Reverse Billed Data -URL (RBD URL) Terms and Conditions

1.      Introduction

The Reverse Billed Data (RBD URL) solution allows your organisation to easily take an existing web-service and make it Reverse Billed, which enables mobile users from all local Mobile Network Operators (Vodacom, MTN, Cell C and Telkom) to access specific online content and data services without impacting their own mobile data bundle. The data usage charge is reverse billed to the Organisation (whether a M2M service provider, content provider, an advertiser, employer, information agency or healthcare provider, etc.).

2.      In terms of the Internal WASP Agreement (ANNEXURE B REVERSE BILLING) already concluded between the parties, the Customer will adhere to the terms and conditions below and shall continue to be bound by the Internal WASP Agreement (ANNEXURE B REVERSE BILLING). In the event of any conflict or inconsistency between the provisions of the Internal WASP Agreement (ANNEXURE B REVERSE BILLING), the RBD URL terms and conditions ("the terms and conditions"), and/or the WASPA Code of Conduct (unless specifically and expressly otherwise provided in the Internal WASP Agreement (ANNEXURE B REVERSE BILLING), the provisions of the Internal WASP Agreement (ANNEXURE B REVERSE BILLING) shall prevail followed by these terms and conditions, then the WASPA Code of Conduct.

 

3.      The phrases/words used in these terms and conditions shall, unless the context clearly indicates otherwise, have the same meaning as assigned to them in the Internal WASP Agreement (ANNEXURE B REVERSE BILLING), It is recorded that the definition of "the Applications" in the Internal WASP Agreement(ANNEXURE B REVERSE BILLING), shall be deemed to include RBD URL.

 

4.      Prior to the Customer being permitted to make use of the RBD URL and at all times after approval from Vodacom may have been obtained, the Customer shall be required to adhere to Vodacom's prerequisites, including but not limited to the following:

 

4.1.1       RBD URL will only be available to Customers who have concluded the Internal WASP Agreement (ANNEXURE B REVERSE BILLING) with Vodacom.

 

4.1.2       Vodacom reserves the right to exercise its own sole and absolute discretion in deciding whether to grant Customer's access to the RBD URL service.

 

4.1.3       The Customer must never have been declared insolvent or be undergoing debt counselling or debt review.

 

4.1.4       The Customer must not have any record of business rule contravention with Vodacom or WASPA in the last six months prior to the request for RBD URL.

 

4.1.5       All monies due and payable to Vodacom by the Customer at date of application for the RBD URL must be settled in full.

 

4.2             In the event of a Customer using RBD URL for any fraudulent purpose or for any other purpose for which it was not intended, Vodacom shall be entitled to immediately terminate the Internal WASP Agreement (ANNEXURE B REVERSE BILLING), concluded between itself and the Customer. In terms of the law, Vodacom is obliged to report fraudulent activities to the Law Enforcement Authorities.

 

4.3             In the event that Vodacom determines (as it may in its sole and absolute discretion do) that the Customer cannot or has not complied, or can no longer comply with these terms and conditions, then Vodacom may immediately and without notice reject the Customer's application to deploy RBD URL or once deployed, immediately and without notice suspend the Customer's right to use the RBD URL service.

 

4.4             Vodacom Messaging do not have control over how many times an end user accesses the RBD URL service.

 

4.5             Free rated data will not apply when an end user is roaming and Customers must advise end users within their Terms and Conditions that accessing the URL when roaming will be billed at the end users prevailing roaming tariffs.

 

4.6             Customers are billed monthly in arrears for the data consumed.

 

4.7             Billing information will be furnished 30 days in arrears and will depend entirely on changes or delays from the network operators.

 

4.8             The Customer is responsible for monitoring usage of the RBD URL through the WEB Portal.

 

4.9             The RBD URL Platform sets a defined soft-cap usage limit, and email notifications would be sent when the following iterations are reached: 50%, 80% 90% and 100% on this usage limit. The usage limit is based on ALL Customer domains configured on the user account.

 

4.10         The Customer must ensure that the Terms and Conditions for use of the free rated URL are available for end users to access.

 

4.11         All requests to and from that URL on Mobile Data will be billed for, regardless of whether it is for the intended service or not.

 

4.12         MTN has a cap of 500mb per day per end user for all Reverse Billed Data services, this means that when they have reached this limit they will begin paying for data usage on reverse billed URLs.

 

4.13         3rd party Public Content services

 

4.13.1   (i.e., YouTube, Google Services, or shared-content services, etc.) where the domain namespace is not controlled by the Customer, the Customer will advise end-users who access the Reversed Billed Data URL of any associated charges should the end-user be redirected to a URL / Port that has not been free rated and the end-users must be notified prior to being redirected of the billing impact.

 

4.13.2   MVNO's (i.e., FNB Mobile / MRP Mobile / Standard Bank Mobile, etc) may NOT offer Reverse Billed Data Services that conform to the Underlying MNOs models therefore, the RBD URL Platform only supports Reverse Billing Mobile Data usage on the four main South African MNOs (Vodacom, MTN, Cell C and Telkom).

 

4.13.3   Custom APNs may NOT support Reverse Billed Mobile Data services as this is pre-configured between the APN Owner and the underlying MNO.

 

4.13.4   Vodacom reserves the right to terminate the Reversed Billed Data service should usage of any of aforementioned protocols be detected.

 

4.14         Cancellation of services by the customer is subject to an official letter indicating cancellation and a 60-day cancellation notice period will apply from date of receipt of official letter.

 

4.15         Customers will purchase the product via EBU direct sales channels or with Vodacom Internal WASP Team. Customers must provide Vodacom with all the following information:

 

4.15.1   Exact URL / Domain

4.15.2   Confirm the Domain's DNS is within Enterprise Customers control.

4.15.3   Is the Service Web Based or an App

4.15.4   If Service is an App, where can it be downloaded?

4.15.5   Is Service HTTPS encrypted.

4.15.6   Estimated Data Consumption

4.15.7   Anticipated number of users

 

4.15.8   The customer is not allowed to use a Vodacom logo, trademark, slogan or any other device or form of intellectual property belonging to Vodacom in advertising without the prior written consent of Vodacom.

 

4.15.9   In all advertising where it is possible to do so, the customer's name must be stated so that the customer is made aware that it is the customer and not Vodacom that is offering the service.

 

5.      Warranties and disclaimers

Vodacom does not give any warranties with regard to the provision of the RBD URL service, and the Customer must ensure that no such warranties are given to the service users.

 

6.      Third parties

The Customer shall ensure that in any agreement it enters into with any of its sub-contractors, agents, partners, suppliers or the like regarding any matter relating to RBD URL, or should any of the Customer's rights as provided for herein be exercised through such persons, then it shall bind such persons to the same obligations to which it is bound in terms of these terms and conditions, as may be applicable in the circumstances, and shall ensure that their exercise of such rights do not contravene these terms and conditions.  Furthermore, the Customer shall be responsible for the acts or omissions of such persons that contravene these terms and conditions.

 

7.      Charges and payments

 

7.1             Setup, monthly and data costs will be charged as indicated on the PRICING APPENDIX of the Internal WASP Agreement (ANNEXURE B REVERSE BILLING).
